Draft terms for the planned Helmar.AI service. Accounts and subscriptions are not open yet; the final terms will be confirmed before launch.

- Helmar.AI never holds your customers’ money and never sends anything you have not approved.
1. Who this agreement is between
These terms are a contract between MB Helmar, company code 304242987, VAT code LT100020159311, Šaltoniškių g. 2, Vilnius, Lithuania (“Helmar.AI”, “we”) and the business that creates a workspace (“you”). The person who creates the workspace confirms they may bind that business. The service is offered to businesses and self-employed professionals in their trade, not to consumers; the consumers you send documents to are covered by section 8.
By creating a workspace or using the service you accept these terms, the Privacy policy and the Data processing agreement.
2. The service
Helmar.AI provides estimating, proposal acceptance, invoicing, payment matching, follow-up messaging and job tools for construction contractors, as described on this website and in the workspace. Features vary by plan; the pricing page lists what each plan includes. We may improve or change features over time without reducing the core service you pay for during your subscription.
3. Your workspace and account
- The workspace owner is responsible for who is invited, for the roles they get and for keeping sign-in details secure. Two-factor authentication is available and recommended for every user.
- You are responsible for the accuracy of your company details, prices, VAT settings and the wording of your documents. Helmar.AI provides templates and country rules as a starting point; your adviser confirms what applies to you.
- One person may hold several workspaces; each workspace is billed separately.
4. Trial, plans and fees
- Every plan starts with a 14-day free trial that needs no card. If you do not subscribe, the workspace closes at the end of the trial and your export stays available for 90 days.
- Plans are billed per workspace, monthly or yearly in advance, in euro, excluding VAT (21 % is added on the invoice for Lithuanian customers; reverse charge applies to VAT-registered businesses in other EU countries). Extra users and SMS are charged as shown on the pricing page.
- Your price is locked: the price of your plan does not go up while you stay subscribed, and features you use today do not move to a higher plan.
- Invoices are issued at the start of each period and are payable within 14 days. If an invoice stays unpaid 14 days after a reminder, we may suspend the workspace until it is paid; your data is kept for the 90-day export period.
5. Changing plans and cancelling
You can move up or down a plan any month; the change applies from the next invoice and downgrades keep your data. You can cancel any time without a fee or a call: a monthly plan ends at the end of the paid month, a yearly plan at the end of the paid year. Fees already paid are not refunded for the unused part of a period, except where the law requires it. After the end date the workspace becomes read-only and the export stays available for 90 days.
6. Your content and your data
You own your price book, estimates, documents, photos, messages and customer data. You give us the licence needed to store, display, send and back them up in order to run the service, and nothing more. Personal data of your customers is processed under the Data processing agreement. You can export everything at any time: every document as a PDF, photos, and every record as CSV.
7. Documents and their legal effect
- Estimates, versions, change orders and invoices are created by you. Helmar.AI keeps accepted versions and issued documents unchanged as the record of what was agreed, with the time, the accepting person and the document hash.
- An acceptance with a one-time email code is a simple electronic signature under the eIDAS Regulation (EU) 910/2014 and the Lithuanian Law on Electronic Identification; Smart-ID and Mobile-ID acceptances are qualified signatures. You decide which to offer per proposal and whether it is sufficient for the value of the work.
- Invoices, advance requests, credit notes and cash receipts are issued in your name and under your VAT status. You are responsible for their content and for your tax obligations; we keep the document rules for Lithuania current but do not give tax or legal advice.
8. Customers who are consumers
When you send documents to a consumer, the Lithuanian Civil Code and the Law on Consumer Protection apply between you and them. Helmar.AI attaches the pre-contract information, the 14-day withdrawal notice and your terms to every proposal so you can meet those duties, and records the customer’s acceptance. Whether the information is complete for your work remains your responsibility.
9. Payments
Helmar.AI never holds or moves your customers’ money. Bank links, transfers and optional card payments go to your own account through licensed payment partners, and Helmar.AI records what the bank confirms. Card payments carry the fee shown on the pricing page; you pay it or pass it on to business customers as its own line, never to consumers. Cash receipts are recorded as signed on your phone.
10. Messages sent on your behalf
Follow-ups, reminders and notifications are sent from your address, using messages you reviewed and approved, in business hours, and stop when a customer replies. You confirm that you have a lawful basis to contact each customer and, for SMS, WhatsApp and Viber, their consent. AI drafts. You approve before anything is sent. You can pause or stop any sequence per proposal.
11. Acceptable use
You agree not to use the service for unlawful purposes, to send unsolicited bulk messages, to upload content you have no right to, to probe or overload the service, to reverse-engineer it, or to resell access. We may suspend a workspace that puts other customers, the service or third parties at risk, and we tell you why.
12. Availability and support
We aim for 99.9 % monthly availability of the workspace, excluding planned maintenance announced in the workspace at least 24 hours ahead. Support is by email on every plan, email and chat on Team, and priority support on Business, on working days 9–18 Lithuanian time, in Lithuanian or English. The crew app keeps today’s jobs, checklists and photos available without signal and sends them when back online.
13. Intellectual property
Helmar.AI, its software, design and documentation belong to MB Helmar. You receive a non-exclusive, non-transferable right to use the service for your business during the subscription. Suggestions you send us may be used to improve the service without any obligation to you. Your own content stays yours.
14. Warranties and liability
The service is provided with reasonable care and skill. Beyond that, and as far as the law allows, we give no other warranty: prices, quantities, legal wording and tax treatment in your documents are your responsibility, checked by your adviser. We are not liable for loss of profit, loss of business or indirect loss. Our total liability for all claims in any 12-month period is limited to the fees you paid us in that period. Nothing limits liability for intent, gross negligence, death or personal injury, or where the law does not allow a limit.
15. Suspension and termination
We may suspend or end a workspace for a material breach that is not fixed within 14 days of notice, for non-payment as described above, or if the law requires it. You may end the agreement by cancelling in the workspace. On any ending, the export stays available for 90 days and the data is then deleted, except what the law requires us to keep.
16. Changes to these terms
We announce changes to these terms in the workspace and by email 30 days before they apply. If a change materially reduces the service and you do not accept it, you may cancel before it applies and receive a refund for the unused prepaid period. Continued use after the date means you accept the new terms.
17. Governing law and disputes
These terms are governed by the law of the Republic of Lithuania. We first try to settle any dispute by discussion within 30 days; if that fails, the courts of Vilnius, Lithuania have jurisdiction, unless mandatory law gives you another forum.
